{"id":29605,"date":"2020-11-03T15:52:54","date_gmt":"2020-11-03T20:52:54","guid":{"rendered":"https:\/\/www.cccc.org\/news_blogs\/?p=29605"},"modified":"2020-11-03T16:22:55","modified_gmt":"2020-11-03T21:22:55","slug":"ontario-extends-flexibility-for-electronic-agms","status":"publish","type":"post","link":"https:\/\/cccc.org\/news_blogs\/legal\/2020\/11\/03\/ontario-extends-flexibility-for-electronic-agms\/","title":{"rendered":"Ontario Extends Flexibility for Electronic AGMs"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">Ontario has again <a href=\"https:\/\/www.ontario.ca\/laws\/regulation\/200544\">extended flexibility<\/a> for annual general meetings (AGM) under the <em>Corporations Act.<\/em> <\/p>\n\n\n\n<h3 class=\"wp-block-heading\">What has been extended?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Three <a href=\"https:\/\/www.ontario.ca\/laws\/statute\/90c38#BK387\">Special Rules During Emergency<\/a> have been extended to <strong>May 31, 2021<\/strong>:<\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>Member meetings to be held by phone or electronic means (Section 3 of the Special Rules; temporarily suspending <a href=\"https:\/\/www.ontario.ca\/laws\/statute\/90c38#BK145\">s 125.1<\/a> of the <em>Corporations Act<\/em>)<\/li><li>Director meetings to be held by phone or electronic means (Section 5 of the Special Rules; temporarily suspending <a href=\"https:\/\/www.ontario.ca\/laws\/statute\/90c38#BK312\">s 283(3.1)<\/a> of the <em>Corporations Act<\/em>)<\/li><li>Elections and votes to be held by alternate means when it\u2019s not feasible to abide by the bylaws (Section 6 of the Special Rules; temporarily suspending <a href=\"https:\/\/www.ontario.ca\/laws\/statute\/90c38#BK315\">s 287(1)<\/a> of the <em>Corporations Act<\/em>)<\/li><\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">Electronic meetings are allowed despite any provision in the letters patent, supplementary letters patent or by-laws&nbsp;to the contrary.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">What has not been extended?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The time extension granted for annual meetings (section 7) was not renewed. The amendments allowing for <a href=\"https:\/\/www.ontario.ca\/page\/covid-19-changes-meetings-and-business-operations\">deferred annual meetings will expire<\/a> 120 days after the end of the emergency period. The emergency period was March 17 \u2013 July 24.
