Milley, Associate Director, Legal Affairs<\/em><\/p>\n<p>On December 10, 2016 Bill 144, the\u00a0<em>Budget Measures Act, 2015\u00a0<\/em>came into force which\u00a0enacted several new statutes, including the\u00a0<em>Forfeited Corporate Property Act, 2015<\/em>\u00a0(the &#8220;FCPA&#8221;).\u00a0Various provisions of the FCPA came into force on December 10, 2016 that amended several Ontario statues, including the\u00a0<em>Business Corporations Act<\/em>\u00a0(the \u201cOBCA\u201d), the\u00a0<a href=\"https:\/\/www.ontario.ca\/laws\/statute\/90c38\"><em>Corporations Act<\/em><\/a>\u00a0(\u201cOCA\u201d), and the\u00a0<a href=\"https:\/\/www.ontario.ca\/laws\/statute\/10n15\"><em>Not-for-Profit Corporations Act<\/em><\/a>\u00a0(the &#8220;ONCA&#8221;).<\/p>\n<p>The amendments to the OCA and the ONCA are similar and require Ontario not-for-profit corporations to prepare and maintain a register of their\u00a0<em>ownership interests<\/em><a href=\"#_edn1\" name=\"_ednref1\">[i]<\/a>\u00a0in real property (i.e., land) in Ontario.\u00a0The register, which must be maintained at the corporations registered office<a href=\"#_edn2\" name=\"_ednref2\">[ii]<\/a>, must identify each property, show the date the corporation acquired the property and the date it was disposed.<a href=\"#_edn3\" name=\"_ednref3\">[iii]<\/a>\u00a0Along with this register, corporations must also keep supporting documentation, such as deeds and mortgage documents that contain the following information with respect to each property listed in the register:<\/p>\n<ol>\n<li>the municipal address of the property, if any;<\/li>\n<li>the registry or land titles division and the property identifier number for the property;<\/li>\n<li>the legal description of the property; and<\/li>\n<li>the assessment roll number of the property, if any.<a href=\"#_edn4\" name=\"_ednref4\">[iv]<\/a><\/li>\n<\/ol>\n<p>Corporations that are incorporated or continued in Ontario under the legislation before\u00a0December 10, 2016, will have two years from that date to comply with the new obligations. Companies incorporated or continued on or after December 10, 2016 will be required to comply immediately.<\/p>\n<p>&nbsp;<\/p>\n<p><a href=\"#_ednref1\" name=\"_edn1\">[i]<\/a> &#8220;Ownership interest&#8221; is not defined in the legislation and as such, organizations should consider whether any interest in land that they may have should be documented in the register.<\/p>\n<p><a href=\"#_ednref2\" name=\"_edn2\">[ii]<\/a> <em>Corporations Act<\/em>, RSO 1990, c C 38 s. 301.1(1) and <em>Not-for-Profit Corporations Act, 2010<\/em>, SO 2010, c 15 s. 92.1(1).<\/p>\n<p><a href=\"#_ednref3\" name=\"_edn3\">[iii]<\/a> <em>Not-for-Profit Corporations Act, 2010<\/em>, SO 2010, c 15 s. 92.1(2).
